Terms of Service

Agreement

By engaging JRC Services — whether through our contact form, email, or any verbal or written agreement — you agree to these Terms of Service. Please read them before we begin work together.

These terms apply to all services provided by JRC Services to any client, and form the basis of the contract between us. They may be updated from time to time; the version in effect at the start of a project applies to that project.

Services

JRC Services provides digital services including, but not limited to: web development, managed hosting, SEO, domain and DNS management, email configuration, tech consulting, copywriting, website maintenance, and customer support outsourcing.

The exact scope of work for each engagement will be agreed in writing before work commences. Any work outside the agreed scope will be discussed and quoted separately.

We reserve the right to decline any project at our discretion and without obligation to provide a reason.

Quotes & Pricing

All quotes are provided in GBP (£) and are valid for 30 days from the date of issue unless otherwise stated. A quote is not a binding contract until both parties have confirmed the scope in writing.

We will always notify you in advance if the scope of work changes in a way that affects pricing. We will never invoice for work you have not approved.

Payment

Payment terms are agreed per project. Typical terms are:

  • 50% deposit required before work begins on new projects.
  • Remaining balance due on completion, prior to handover or go-live.
  • Ongoing retainer or hosting fees are billed monthly in advance.

Invoices are due within 14 days of issue unless otherwise agreed. Late payments may incur interest at 8% above the Bank of England base rate, as permitted under the Late Payment of Commercial Debts (Interest) Act 1998.

We reserve the right to pause work on any project where an invoice is overdue by more than 14 days.

Intellectual Property

Upon receipt of full payment, ownership of all custom work created specifically for your project transfers to you. This includes design assets, written content, and code that is unique to your engagement.

The following remain the property of JRC Services and are licensed for your use only within the scope of the project:

  • Reusable code libraries, frameworks, and internal tooling.
  • Templates or components not created exclusively for your project.

Third-party assets (fonts, stock images, plugins, etc.) remain subject to their own licences. We will inform you of any third-party licences required for your project.

Confidentiality

We treat all client information as confidential. We will not share, sell, or disclose your business information, project details, or data to any third party without your explicit consent, except where required by law.

We ask that you treat any processes, pricing, or proprietary methods shared by JRC Services with the same discretion.

Limitation of Liability

JRC Services will carry out all work with reasonable skill and care. However, we cannot guarantee specific outcomes such as search ranking positions, conversion rates, or revenue increases.

Our liability for any claim arising from services provided is limited to the total fees paid for the specific service giving rise to the claim. We are not liable for indirect, consequential, or incidental losses including loss of profit, loss of data, or business interruption.

We are not liable for issues arising from third-party services, platforms, or software (including hosting providers, domain registrars, or email providers) that are outside our direct control.

Termination

Either party may terminate an ongoing engagement with 30 days written notice. For project-based work, termination before completion will result in payment for all work completed to date, plus any third-party costs already incurred.

We reserve the right to terminate immediately if a client acts in a way that is unlawful, abusive, or in breach of these terms.

Upon termination, we will provide you with all deliverables and files completed to that point within 14 days, subject to outstanding payment being settled.

Governing Law

These terms are governed by the laws of England and Wales. Any disputes arising from services provided by JRC Services will be subject to the exclusive jurisdiction of the courts of England and Wales.

We will always attempt to resolve disputes amicably before any formal action is taken.
